Institutional Investor Conferences

Grant & Eisenhofer hosts and sponsors institutional investor conferences that bring together private institutional investors, industry leaders, government regulators, academics, consultants and attorneys to discuss issues impacting institutional investors.  Among the recent conferences G&E has sponsored is the Institutional Investor Education Foundation's conference on Global Shareholder Activism.   

Institutional Investor Education Foundation (IIEF)

G&E is a founding member of a new organization dedicated to the education and dissemination of information concerning the institutional investor community.  The IIEF sponsors seminars, workshops and conferences that bring industry leaders together to discuss issues of importance to institutional investors.  

Institutional Investors Lead the Way

In recent years institutional investors have led the charge against corporate fraud and abuse. Since the enactment of the Private Securities Litigation Reform Act ("PSLRA") in 1995, the largest securities litigation settlements have been obtained by institutional investor plaintiffs, with Grant & Eisenhofer acting as lead counsel in five of those cases.

The dominance of institutional investors in the top securities litigation settlements is part of a trend that has become apparent since the passage of the PSLRA. Prior to that, the first plaintiff to file a complaint (regardless of size or level of damages) would usually become the lead plaintiff.

The leadership of institutional investor plaintiffs has resulted in larger average recoveries. A recent Cornerstone Research and Stanford Law School's Securities Class Action Clearinghouse joint report on securities class action filings found that when institutional investors are the lead plaintiffs, settlements are, on average, 20% higher.

Advancing the Institutional Investor Agenda

At G&E, we're deeply committed to the institutional investor community and its agenda of shareholder rights and management accountability. Since Gluck v. Cellstar, the first post-PSLRA case where an institutional investor was lead plaintiff in a securities litigation, we have worked aggressively to shape the laws affecting corporate governance and shareholder rights. This is a rapidly evolving field of law, and every ruling has a significant impact on future legal decisions as well as on the behavior of board members and corporate executives. G&E's lawyers spend a considerable amount of their time outside the courtroom representing the interests of institutional investors:  

  • Preparing and advocating the adoption of shareholder proposals and bylaws for publicly traded companies
  • Representing shareholders at annual shareholder meetings
  • Testifying on behalf of institutional investors before the SEC and before various judicial commissions
  • Working for the Council of Institutional Investors and other institutional investor organizations
  • Writing and speaking widely on securities and corporate governance law
