Overview

Edward Lilly focuses his practice on corporate governance matters for the Chancery practice group, including investigations and litigation involving breaches of fiduciary duty or self-dealing in mergers or other financial transactions.

As administrations and rules change—or given developments involving companies themselves—Ed also helps clients explore and understand the issues they might want other shareholders to vote on. He then helps tailor those proposals to ensure they comply with the SEC’s proxy rules and will be included in the target company’s proxy filing for shareholder consideration.

Ed offers additional broad litigation experience in areas including intellectual property litigation, securities fraud and anti-trust class actions, consumer mass tort matters, product liability, and derivative class actions. Clients, colleagues and co-counsel alike appreciate his responsiveness, collaborative style and commitment to moving matters steadily forward to resolution.

Outside the Office

I spent one day in Major League Baseball.  When I was in graduate school, I was at a Chicago Cubs game one September when I ran into the team’s equipment manager.  He said, “Hey, you’re kind of old, but the kids are back in school.  Would you like to come down and be the bat boy?”  That day, they had Bat Man.
