Our team stands on the side of transparency and fairness, holding corporations to account to ensure they’ve honored the trust their shareholders have placed in them, instead of self-dealing to further their own interests.
Overview
Edward Lilly focuses his practice on corporate governance matters for the Chancery practice group, including investigations and litigation involving breaches of fiduciary duty or self-dealing in mergers or other financial transactions.
As administrations and rules change—or given developments involving companies themselves—Ed also helps clients explore and understand the issues they might want other shareholders to vote on. He then helps tailor those proposals to ensure they comply with the SEC’s proxy rules and will be included in the target company’s proxy filing for shareholder consideration.
