I enjoy digging into the facts, crafting a story around the evidence, pursuing the bad guys and seeking justice when wrongdoing occurs. It’s rewarding knowing that our work has a deterrent effect: corporate fiduciaries are aware that investors and their attorneys are out there, watching closely. This helps to instill essential confidence in the public stock market and wider economy.

Overview

With a primary focus on corporate governance, Rebecca Musarra helps to achieve significant recoveries for pension funds and other institutional investors, including one of the largest derivative litigation recoveries—a $167.5 million settlement for CBS stockholders—in Court of Chancery history.

When executives or directors of public companies misuse corporate power to the detriment of the company or its stockholders, Rebecca works to hold them accountable. Guided by a longstanding commitment to advocating for those without equal power, rooted in her Peace Corps service, Rebecca pursues recovery through stockholder class actions and derivative litigation to remedy fiduciary misconduct.

Rebecca and G&E have played a leading role in shaping SPAC litigation. Recognizing the significant risk of misconduct inherent in the SPAC structure, including incentives to complete transactions at almost any cost, Rebecca has filed a number of SPAC actions, successfully defending each against any motions to dismiss. As G&E has led the charge for accountability in this space, Rebecca believes these results have contributed to a deterrent effect across the broader SPAC market.

While collegiality and decorum remain “the Delaware way,” Rebecca does not hesitate to press her clients’ positions forcefully when investors’ interests are at stake. In light of recent changes to Delaware corporate law, it is more important than ever for clients to have experienced, creative counsel willing to advance novel legal theories and to pursue litigation in any jurisdiction where doing so services their interests.

Prior to joining G&E, Rebecca worked as an appellate law clerk to the Chief Justice of the Supreme Court of the Virgin Islands in St. Thomas, Virgin Islands. As part of her pro bono activities, she represents juvenile immigrants in court and before federal agencies, and has volunteered with the Medical Reserve Corps of Philadelphia and HIAS-PA.

Experience

  • Represented institutional plaintiffs in achieving a $167.5 million settlement in In re CBS Stockholders Litigation, one of the largest derivative litigation recoveries in the history of the Delaware Court of Chancery.
  • Member of the trial team for In re Fannie Mae/Freddie Mac Senior Preferred Stock Purchase Agreements Class Action Litigation, obtaining a jury verdict in excess of $500 million.
  • Member of the trial team for In re Appraisal of Dell Inc.
  • Reached substantial settlements in SPAC cases, including In re Berkshire Grey.
  • Obtained favorable settlements in alternative entity cases, including Morris v. Spectra Energy Partners (DE) GP, LP, and Sommers v. Lawal et al.
  • Pursued securities fraud claims in In re SynchronossTechnologies, Inc. Securities Litigation, obtaining a meaningful settlement on behalf of investors.
  • Principal role in pursuing fiduciary claims against entities and individuals associated with Cantor Fitzgerald, L.P. on behalf of investors.

Outside the Office

I love to travel off the beaten path and have lived in Africa, Asia, Europe, and the Caribbean.  Those experiences have shaped my appreciation for learning from different people, places, and cultures.  I am currently working on becoming proficient in French.
