Fraud can be contagious. When you have companies that get away with fraudulent activities, other companies are more likely to follow suit. When we are able to stop them, and force them to institute fairer practices, that message also spreads—only to positive, preventative effect.

Overview

David Wissbroecker focuses his practice on corporate governance and securities litigation in Delaware Chancery Court.

Bringing significant experience in derivative and deal cases, David spends much of his time on demands made pursuant to Section 220 of the Delaware General Corporation Law and cases involving special purpose acquisition companies (SPACs), the problematic aspects of which G&E has been so instrumental in tackling.

His casework includes litigating several matters in Delaware and other jurisdictions, including shareholder class actions against Dole, Kinder Morgan, Del Monte Foods, Scana, Websense, Harman, Precision Castparts, Dollar General, Onyx and Gardner Denver, among other high-profile matters.

While striving to shape and enforce corporate governance processes that directly benefit his clients, with objectivity and compassion David also tries to create positive repercussions that benefit all investors and society more broadly.

Prior to joining G&E, David was a partner at national law firm where he practiced securities class action litigation concerning mergers and acquisitions, representing institutional investors as well as individual shareholders.

Outside the Office

I am deeply involved in the meditative process. I’ve recently received a degree in mindfulness and meditative guidance. I find it so helpful in my life and practice, even when engaging with the opposing side more effectively, with less default aggression. I also enjoy deeply engaging with nature.
